Biography

Brendon Philipps is a Managing Director with B. Riley Securities responsible for capital structure advisory and liability management. He has 13 years of experience advising and investing in stressed and distressed situations. His experience includes advisory and principal assignments for companies and stakeholders, M&A engagement, private placements, leveraged loan and high yield transactions, as well as rescue, debtor-in-possession, exit financings, in and out-of-court restructuring transactions, exchange offers, amendments and equitizations.

Prior to joining B. Riley, Mr. Philipps was a Managing Director at Guggenheim Securities where he advised sponsors, public companies and creditors on a variety of liability management and restructuring transactions. Notable engagements include advising sponsor One Rock Capital on portfolio company, Robertshaw, on multiple new money, liability management, and restructuring transactions, Hubbard Radio on its new money, amend & extend transaction, sponsor Carlyle on portfolio company KLDiscovery's new money and debt-for-equity transaction, Altisource Portfolio Solutions on its new money and amend & extend transaction, Aeromexico's ad hoc creditor group on its Chapter 11 restructuring and Seadrill ad hoc creditor group on its Chapter 11 restructuring.

Prior to Guggenheim, Mr. Philipps was a special situations investor at KLS Diversified Asset Management, a multi-billion dollar asset manager, where he was responsible for sourcing, underwriting and executing distressed and special situations investments for a $500m mark-to-market vehicle and a $150m, 5-year distressed for control fund. Notable investments included Brinks Home Security (fka Monitronics/Ascent capital) where insolvency and litigation strategy resulted in cash settlement, Global A&T Electronics Ltd. where a cross-border, multi-party restructuring transaction was effected through Chapter 11, Horizon Global Ltd., Jo-Ann Stores, Unit/Windstream, Michaels Companies, Essar Steel, Revlon, Frontier Communications, GTT Communications, Ultra Petroleum and Sherritt International.

Prior to KLS Diverisified, Mr. Philipps was a Vice President at Millstein & Co. where he negotiated multi-creditor transactions, conducted Section 363 sales, performed valuation analyses and advised on a range of transaction structures. Prior to joining Millstein & Co., Mr. Philipps was an associate at Rothschild & Co., working on similar distressed and restructuring transactions.

Mr. Philipps holds an MBA from Carnegie Mellon and a BA from the University of California - Santa Cruz.
