Biography
Wayne Wilson is a Senior Managing Director at B. Riley Advisory Services and serves as an accounting and finance expert in domestic and international energy disputes. In his 28-year career, Wayne has provided testimony related to most aspects of business within the energy industry. This includes finance, accounting, valuation, organizational management, statistics, risk management and internal control issues.
He has testified in both commercial and investor state arbitrations as well as a variety of domestic arbitrations and court cases within the United States. His international work has included disputes involving international energy regulations, production sharing agreements, nationalization, and joint operating agreements while his domestic work has been focused on contractual disputes in all areas of the energy industry.
Wayne's testimony along the energy value chain begins in exploration & production continues through transportation & processing proceeds to petrochemicals & refined products before finally arriving at marketing & trading. When combined with the accounting investigations he has led, he has assisted energy companies from wellhead to Wall Street.
He has provided his expertise on matters related to operations and damages on six of the seven continents of the world: Africa, Asia, Australia, Europe, North America, and South America. His testimony has been accepted in United States Federal and State Courts and in cases conducted under the auspices of the United Nations Commission on International Trade Law, London Court of International Arbitration, International Centre for Settlement of Investment Disputes, International Chamber of Commerce Court of Arbitration, European Court of Human Rights, Singapore International Arbitration Centre, and Hong Kong International Arbitration Centre.
His oil & gas accounting expertise is often called upon to opine on accounting and reporting under various regulatory bodies. While most of his cases involve performing complex financial modeling in calculating damages and performing valuations, he has also evaluated financing decisions, risk management, internal controls, and overall organizational design. He has led investigations into management decision making, financial positions, off-balance sheet structures, and complex structured transactions.
Wayne has led forensic investigations on behalf of many energy trading organizations. In these engagements, he has reviewed accounting, valued positions, evaluated risk management, and tested & opined on internal controls. He has also evaluated financial management, and tested & opined on internal controls. He has also valued financial derivatives in disputes involving the termination of contracts.
His specific testimony experience in the petroleum industry includes crude and natural gas reserves valuations, pricing and accounting for production and products, transfer pricing, royalties, severance/conservation/ad valorem taxes, gas marketing, valuation of energy companies, joint interest billing, valuation of and accounting for derivatives for hedging and speculation.
Wayne's expertise in the power industry includes valuations of power projects, valuation & accounting analysis of financial derivative positions, contract disputes with local distribution companies, power marketing companies (including financial, accounting, and managerial), and valuation of power generation and power distribution facilities.
He is best known for his work on behalf of Yukos Oil Company against the Russian Federation in a series of cases including a matter before the European Court of Human Rights and his work for the Powers Report Committee investigating accounting irregularities at Enron.
Wayne has taught courses in financial accounting and managerial accounting at the collegiate level. He has also presented on accounting and damages calculations within the energy industry to law firms, law school classes, corporations, and accounting practitioner groups.
He received his Master of Accounting Sciences with concentrations in international accounting and finance from the University of Illinois. He has doctoral level coursework in accounting, econometrics, and finance. Wayne is licensed as a Certified Public Accountant in Texas. His work experience is composed of 12 years with major accounting firms and 16 years with consulting firms.
